act legal Romania and Lexelians Avocats assisted Groupe Genoyer, a French-headquartered industrial group with a long-standing global footprint in the supply of piping components and engineered equipment, on the sale of its Romanian subsidiary Vilmar S.A. to Special Flanges, a portfolio company of Wise Equity SGR.
Founded in 1971 in Râmnicu Vâlcea, Vilmar is a globally reputed manufacturer of mission-critical engineered systems and components for high-spec industries including nuclear, subsea, renewables, and power generation. With a 2024 turnover of approximately EUR 37 million and extensive international certifications, Vilmar is recognized for its engineering know-how, production capacity, and ability to deliver custom-built solutions for complex industrial applications.
This cross-border transaction allows Special Flanges to strengthen its European footprint and broaden its offering of high-value engineered components in strategic industries.
act legal Romania and Lexelians Avocats provided legal support to Groupe Genoyer throughout the transaction.
The Lexelians Avocats team was led by Irina Serban (Partner) and Maud Sorel (Counsel). The team advised on all French law aspects of the sale including transaction structuring and contractual documentation.
The act legal team was led by Mihaela Poșircă (Partner), Ruxandra Liștea (Counsel), and Andrei Petre (Counsel), and also included Alexandru Dan (Counsel), Lorena Samoilă (Senior Associate), and Andreea Modreanu (Associate). The team advised on all Romanian law aspects of the sale, including transaction structuring, contractual documentation, and the foreign direct investment (FDI) clearance process.
On the advisory side, Wagram Corporate Finance, represented by Paul Le Clerc and Jean Barrois, acted as M&A advisors to the seller, alongside Raiffeisen Bank Romania, represented by Karina Ogică, as financial advisor.
The acquisition was finalized in June 2025 following clearance from all relevant authorities.
