ABOUT THE AWARD
The Board of the Year Award celebrates outstanding board performance, recognizing those that exemplify leadership, strategic foresight, and governance excellence. This award honors boards that have played a transformative role in their organizations by driving innovation, ensuring sustainability, and maintaining the highest standards of integrity and accountability while navigating complexity and change.
WHO CAN BE NOMINATED?
Nominations can be submitted by institutional partners or through self-nomination. The award is open to boards that demonstrate exceptional engagement, diverse perspectives, and strategic governance practices that go beyond compliance to shape impactful outcomes.
EVALUATION CRITERIA
- Board Engagement and Commitment – Active involvement in strategic direction, including support for significant business turnarounds and strong collaboration with executive leadership.
- Strategic Leadership and Vision – Demonstrated ability to anticipate challenges and steer the organization with a clear long-term vision.
- Succession Planning – Evidence of a well-structured succession plan that has been implemented successfully.
- Board Composition and Diversity – A well-balanced mix of expertise, experience, and perspectives, including a meaningful proportion of independent board members.
- Governance Excellence – Alignment with the Governance Code of the Bucharest Stock Exchange and the OECD Principles of Corporate Governance.
- Strategic Stakeholder Engagement – Proactive involvement of key stakeholders in governance and decision-making to align with long-term goals.
- Risk Oversight – Robust processes for identifying, managing, and mitigating key organizational risks, with clear board-level accountability.
- Culture and Ethics Leadership – Ongoing focus to actively embed the company's ethical character and corporate culture in its strategy, operations, and daily conduct.
